PolyMetric Suite - End User License Agreement (Draft v4)
Licensor: PolyMetric Fabrication LLC, a New Hampshire limited liability company, doing business as "PolyMetric Software" ("we", "us"). Mailing address: PO Box 175, Hudson, NH 03051. Support: contact@PolyMetricFab.com.
You: the business that buys, installs or uses the Software, and the person accepting for it ("you").
This agreement covers PolyMetric Quote, PolyMetric Track, PolyMetric Inspect and the PolyMetric Suite bundle, including updates we provide (the "Software"). You accept this agreement by agreeing to it at checkout (the checkout links to this agreement), by clicking "I agree" in the installer (which also confirms you're buying for business use), or by installing or using the Software. If you don't agree, don't buy, install or use it. If you accept for a business, you confirm you have authority to bind it.
Who can buy. The Software is sold to businesses only, for business use. It isn't sold to consumers for personal, family or household use. When you accept this agreement (in the installer), you confirm that you are buying and using the Software for a business and that you are at least 18. If the law of your country gives you consumer rights anyway (for example, a cooling-off right), those rights still apply (section 10).
1. License
When you've paid, we grant you a perpetual, non-exclusive, non-transferable (except as section 4 allows) license to install and use the Software you bought on one Windows PC per license (a "seat"), for your internal business use. Licenses are locked to that PC and work offline. You don't need an internet connection to run the Software.
Extra PCs need extra licenses. Each extra license of the same product for the same business costs 50% of the list price.
Each license is a one-time purchase per PC and doesn't expire. You keep your license as long as you follow this agreement. Only maintenance (section 2) renews automatically. Your first year of maintenance is included in your purchase price, and you can cancel the renewal at any time without affecting your license. You don't own the Software itself: we keep all rights we don't expressly grant.
2. Maintenance (updates and support)
- Year one is included in your purchase price. Every product purchase includes the first 12 months of maintenance, starting on the purchase date. At checkout, the price is shown as two lines charged together that day: the one-time perpetual license (list price minus the yearly maintenance fee) and the first year of maintenance. For example, Suite is $1,196 (license) + $299 (first-year maintenance) \= $1,495 today, then $299 per year until you cancel. Maintenance includes new versions and email support at contact@PolyMetricFab.com, answered within 2 business days.
- After the first year, maintenance renews automatically each year until you cancel. It's one flat yearly fee per customer per product, however many PCs (seats) you have: Quote $99, Inspect $119, Track $159, Suite $299. Extra seats are paid once and never add to your maintenance. For example, Suite maintenance is $299/yr whether you run it on 1 PC or 5. Maintenance covers all your seats of that product together, so they renew or lapse together.
- Automatic renewal: on each anniversary of your purchase, maintenance renews for another year. The renewal is charged to the payment method you used at checkout (or one you've since updated in your Link account), at the flat yearly fee for that product in effect at the time of renewal. We'll tell you at least 30 days before any change to that fee. You'll get a reminder email about 30 days before each renewal charge, with the amount, the charge date and how to cancel. If a renewal charge fails, you'll be notified and the card will be retried. If it's still unpaid 14 days after the first failed charge, your maintenance lapses and no renewal is issued.
- Cancelling: you can cancel automatic renewal at any time, in any of these ways: in your Link account (link.com, under Recurring, then Manage subscription), through the Stripe customer portal link we send you, or by emailing contact@PolyMetricFab.com and we'll cancel it for you. Cancelling stops the next renewal. It doesn't refund the year you've already paid for (except as section 10 allows), and your maintenance stays active until the end of that year. Your perpetual license isn't affected.
- Restarting after you cancel: you can restart maintenance at any time through our checkout. A restarted plan runs for one year from the date you pay and then renews automatically the same way. If you restart more than 60 days after your coverage ended, the reinstatement fee under Rejoining applies.
- If maintenance lapses, your Software keeps working. Maintenance lapses if you cancel and your paid year ends, or if a renewal charge isn't paid. You keep the last version released while your maintenance was active. Versions released after your maintenance ends aren't licensed to you, and they won't install or activate on your PC. The versions you already have installed keep working. To get newer versions, rejoin maintenance (see below).
- Rejoining: up to 60 days after a lapse, you renew at the normal rate. After 60 days, you pay a $99 reinstatement fee plus the current year's flat maintenance fee, once per product (not per seat). You never pay for the time you were lapsed. A rejoined plan runs for one year from the date you pay and renews automatically until you cancel.
- Support means help using the Software as designed. It doesn't include on-site work, fixing your PC, network or other software, or checking your parts, quotes or inspection results.
3. Free trial
- You can try the Software free for 30 days. The trial runs in the downloadable app. No payment or card is needed, and there's no trial period at checkout: buying starts your paid license and first year of maintenance right away. Trial output carries a "TRIAL" watermark.
- After 30 days the Software becomes read-only. You can open and view your data, but you can't create or change records until you buy a license. We never delete your data when a trial ends.
- One trial per business per product. Trials can't be extended.
- Sections 5–8 and 13–17 apply during the trial too.
4. Moving to a new PC and transferring to a new owner
- New PC: each license includes one free move every 12 months. Further moves in the same 12 months cost $49 each. Replacing only the drive, or only reinstalling Windows, doesn't count as a move. The old PC must stop using the Software once you move it.
- New owner: if you sell your business or its equipment, you can transfer the license to the new owner for $99, as long as maintenance is current. The new owner must accept this agreement, and you must remove the Software from your PCs.
5. What you can't do
You may not:
- reverse engineer, decompile or disassemble the Software, or try to get its source code, except where the law expressly allows it despite this limit;
- get around or disable license checks, activation, watermarks or trial limits;
- share, publish, sell, rent, lend or resell license keys, license files or activation codes, or use one license on more PCs than you've paid for;
- rent out the Software, or run it as a hosted or service-bureau offering for others;
- remove or change PolyMetric copyright, trademark or license notices in the Software (section 11 covers your own branding on your output);
- use the Software in breach of any law, including the export laws in section 18.
6. Your data and backups
- Your data stays on your PC. Quotes, jobs, travelers, inspection records, drawings and customer lists are stored locally (in %LOCALAPPDATA%\\PolyMetricSuite). We don't collect, receive or see them. There is no telemetry.
- The only exception is license activation. To activate, the Software creates a request code for your PC. You send it to us (by email or upload), and we send back a license file. If you use an online activation option, only the request code and your order key are sent. The license file is stored in %PROGRAMDATA%\\PolyMetricSuite.
- Update check: if you leave it on, the Software checks once a day for a new version. That check sends only the Software version. You can turn it off.
- Email passwords: if you set up email sending, your mail password is stored in Windows Credential Manager on your PC, not sent to us.
- Backups are your job. The Software keeps some local backups on your PC (14 daily, 12 monthly) as a convenience. Those copies are on the same PC, so they won't protect you if the PC or drive fails, is stolen, or is hit by malware. You are responsible for: - making and testing your own regular backups somewhere other than that PC; - keeping your PC, Windows and antivirus up to date and secure; - controlling who can use the PC. We aren't responsible for lost, corrupted or unrecoverable data, however it happens.
- Our Privacy Policy (PRIVACY.md and the website) describes this in more detail. If the two ever conflict about data, the Privacy Policy controls.
7. Auto-Scan and ballooning are aids only
Auto-Scan, auto-ballooning, characteristic extraction and other automatic features are aids to speed up your work. They can miss, misread or mis-number features, dimensions, tolerances and notes. You must check every result against the drawing and specification before you rely on it.
8. The Software is a tool. You're responsible for your work.
- It's a tool, not an inspector or a quality system. The Software helps you organize, calculate, lay out and record information. It doesn't inspect parts. It doesn't decide whether anything is acceptable, and it doesn't replace your own quality system, inspectors, engineers or judgment. Don't use it as your only quality, inspection or safety control.
- You check everything before you rely on it. You alone are responsible for checking, before you rely on it, send it, sign it or ship parts: - every quote, price, lead time and cost; - every machining- or toolpath-related value (feeds, speeds, cycle times and the like); - every balloon, characteristic and measurement; - every traveler and purchase order; - every report, certificate or other document the Software helps you make.
- Your inputs and setup are your responsibility. Results are only as good as what goes in. You are responsible for: - how the Software is set up and configured; - the accuracy of everything you or your staff enter or import, including materials, labor and machine rates, markups, gauges and calibration data, tolerances, specifications, drawings and customer requirements; - keeping that information current.
- Your decisions are yours. You alone are responsible for the parts you make, buy, accept, reject or ship, and for every quoting, purchasing, production and inspection decision you make with the Software's help.
- AS9102-format forms are a layout only. The Software can print forms laid out in the AS9102 first article inspection format. That doesn't mean the Software, PolyMetric, or you are approved, accredited or certified by anyone, and it doesn't mean any part or report meets a standard or customer requirement.
- Not for high-risk uses. The Software isn't designed or tested for uses where a failure could cause death, injury or serious property or environmental damage, unless qualified people independently check its outputs.
9. Ordering, payment and taxes (Stripe)
- Who processes your payment. Licenses (including the 5-seat Suite shop pack), maintenance, extra seats and license fees (moves, transfers, reinstatement) are sold through Stripe Managed Payments. Sold through Link, LLC, a Stripe affiliate ("Link"), is the merchant of record for these payments. Link runs the checkout, charges your payment method, sends your receipts and invoices (marked "Sold through Link"), and handles payment questions, refund requests under its own policy, and chargebacks. Your card or bank statement will show "LINK.COM*" followed by our statement descriptor. Link's Sold through Link Terms (link.com/terms) apply to the payment itself.
- We're the licensor. Your license, the Software, maintenance and product support come from us under this agreement, not from Stripe or Link. Link doesn't provide product support. For help using the Software, contact us.
- Saved payment method, automatic renewal and cancellation. Each purchase is set up as a subscription. The one-time license line and the first year of maintenance are charged at checkout. After that, only maintenance renews, once a year on your purchase anniversary, until you cancel (section 2). The payment method you use at checkout is saved by Link and authorized only for charges made through Stripe Managed Payments for this subscription. You can view the subscription, see the renewal date, update your payment method or cancel at any time in your Link account (link.com, under Recurring), through our Stripe customer portal link, or by emailing us. We don't charge your saved payment method in any other way.
- Optional services are sold separately. The setup session, custom PDF layout, data loading and priority support (section 12) are sold through a standard Stripe checkout in which we, PolyMetric Fabrication LLC, are the seller and merchant of record, not Link. Those charges appear under our own statement descriptor, and any tax on them is handled by us. Priority support renews automatically each year on the payment method used for it until you cancel (section 12). The 5-seat Suite shop pack is sold by quote, but it's paid through a Managed Payments checkout link, so Link is the seller and merchant of record for it, as for any other license (section 12).
- Prices are in US dollars and are the prices shown at checkout. Taxes are added on top unless checkout shows otherwise. The only automatic charges are yearly maintenance (section 2) and, if you buy it, yearly priority support (section 12). There are no other automatic charges.
- Taxes: for Managed Payments orders, Link calculates sales tax, VAT or similar taxes at checkout, collects them and remits them to the taxing authorities where it's responsible for doing so. For optional services, we handle any tax that applies.
- Your license activates once payment is confirmed.
10. Refunds
If the Software doesn't work for you, you can ask for a refund up to 30 days after purchase by emailing contact@PolyMetricFab.com with your order number, and you'll get a full refund. Once you're refunded, the license ends and is deactivated, its maintenance is cancelled so no renewal is charged, and you must uninstall the Software and stop using the license file. Fees for moves, transfers and reinstatement can be refunded up to 30 days after purchase if unused. A maintenance charge, including an automatic renewal, can be refunded up to 30 days after the charge if you haven't used it (no new version installed and no support requested). After that, cancelling stops the next renewal but doesn't refund the current paid year (section 2). If a maintenance renewal is refunded in full, that renewal ends and your yearly maintenance is cancelled, so nothing more is charged. Your license keeps working, and versions released through the end of your last paid maintenance year stay licensed. Optional services follow the refund terms in section 12. A refund up to 30 days after purchase covers the whole checkout amount, meaning the license line and the first year of maintenance (for example, the full $1,495 for Suite). For the shop pack, a full refund covers the whole checkout amount ($4,495) and ends and deactivates all 5 seats. Refunds go back to the original payment method. For Managed Payments orders, they're processed by Link. Link's own refund policy also applies: Link may grant a refund up to 60 days after purchase under its Sold through Link refund policy (for example, if you didn't receive the product, it isn't as described, or a charge wasn't authorized), and if you're a consumer in the EU or UK you may have a 14-day cooling-off right through Link. Where Link's policy is more generous than ours, Link's policy controls. If Link refunds a license purchase in full, the license ends and is deactivated, and its maintenance is cancelled, as if we had refunded it. Nothing here limits any refund right the law gives you.
11. Your branding on output (white label)
You may put your own business name and logo on output the Software creates for you, such as quotes, travelers, purchase orders, inspection reports and certificates, and send that output to your customers. On licensed copies, that output carries only your shop's branding. It has no PolyMetric header, logo or name. Trial output carries a "TRIAL" watermark (section 3). You may not remove or change PolyMetric names, logos, copyright or license notices inside the Software itself (screens, About box, license information). You're responsible for having the rights to any logo you add.
12. Optional services
These are optional paid add-ons. We're a small shop, so all services are done remotely: by screen share, or by email for files. We don't do on-site visits. Times below are typical targets, not guarantees, and they count business days (Monday to Friday, not counting US holidays). Prices are in the fee schedule and at checkout. Each service is for one customer (one business). Services are bought through a separate standard Stripe checkout in which we are the seller (section 9).
Setup session ($149). A one-on-one remote session by screen share, about 60 minutes, to get you up and running.
- What's included: we install and activate the Software on one PC. We then enter your company name, logo and contact info with you, and set up your shop rates, materials and machines. That includes CNC machines and 3D printers, and the additive job steps (sliced, queued, printing) if you use them. After that, we walk you through your first quote, job or inspection report. You also get one follow-up email question answered no later than 7 days after the session.
- What you provide: a Windows PC with internet during the session; admin rights to install; your logo file; and a list of your rates, materials and machines (a spreadsheet or a photo of your list is fine).
- Scheduling: after you buy, we email you to pick a time. Sessions are usually available within 5–10 business days, with weekday evening and some Saturday slots. You can reschedule once with at least 1 business day's notice.
Custom PDF layout ($249 each). We set up one document type to look like the form you already use. The document types are a quote, traveler, purchase order, inspection report or certificate of conformance.
- What's included: one layout for one document type, with your logo, fields, column order and wording. The price includes up to 2 rounds of changes. Each further document type is a separate $249 layout.
- What you provide: a PDF or photo of the form you want matched, your logo file, and notes on any fields you want added, removed or renamed.
- How it's delivered: we email you the layout file with short install steps. We can also install it during a short screen share if you prefer.
- Turnaround: usually within 10 business days after we get your files. Each round of changes is usually within 5 business days.
- Please note: we match the look and fields of your form. We don't review whether the form meets any customer, industry or quality requirement. You check the result before you use it (section 8).
Data loading ($199). We bring your existing lists into the Software so you don't have to type them in.
- What's included: one import of your customers, materials, machines and printers, gauges, rates, or part and job lists, from spreadsheets or a CSV export from your current system. It covers up to about 2,000 rows in total. We do basic cleanup, such as matching columns, fixing obvious formatting and removing exact duplicates. If your data is bigger or messier than that, we'll quote it before starting.
- What you provide: your files in Excel or CSV, with a note on what each column means if it isn't obvious.
- How it's delivered: we email you a ready-to-import file with one-click import steps. We can also load it with you during a short screen share.
- Turnaround: usually within 10 business days after we get your files.
- Please note: you must check the loaded data before you rely on it (section 8). We aren't responsible for errors that were already in your files.
Priority support (+$199/yr). Quicker answers for shops that rely on the Software every day.
- What's included: your support emails go to the front of the line. We aim to give you a first reply within 1 business day, compared with 2 business days for standard support. The price also includes up to 2 remote screen-share help sessions per year, about 30 minutes each, scheduled within about 3 business days of your request.
- Terms: it's one flat yearly fee per customer that covers all your seats. It runs alongside your maintenance, so your maintenance must be current. It isn't 24/7 or same-hour support, and it doesn't include on-site work or the separate services above. Response times are targets, not guarantees.
- Renewal: priority support renews automatically each year on the payment method you used for it, at the then-current yearly fee, until you cancel. We'll email you a reminder about 30 days before each renewal charge with the amount, the date and how to cancel. You can cancel at any time through the Stripe customer portal link we send you or by emailing contact@PolyMetricFab.com. Cancelling stops the next renewal. It doesn't refund the current year (except as the services refund terms below allow), and priority support stays active until the end of that year. If your maintenance lapses, priority support isn't renewed.
Extra seats and the shop pack. These are licenses, not services. Extra seats and the 5-seat Suite shop pack are paid once, for one business, and each seat activates on one PC. The shop pack is sold by quote: email contact@PolyMetricFab.com and we'll send a quote with a checkout link for a one-time $4,196 license plus the first year of Suite maintenance for all 5 seats ($299), so $4,495 today. The checkout is sold through Link (section 9); the link can be paid once and expires 30 days after we send it. After the first year, the shop pack's maintenance renews automatically once a year at the then-current yearly fee ($299 today), like other maintenance, until you cancel (section 2). They don't add to your yearly maintenance (section 2), and they don't include any of the services above.
Refunds for services
- A setup session, custom PDF layout or data loading job can be refunded in full until we start the work. Starting means the session has begun, or we've started working on your files.
- Once work has started or the service has been delivered, it can't be refunded. If something we delivered doesn't work as described, tell us up to 30 days after delivery and we'll fix it.
- Priority support can be refunded up to 30 days after purchase if you haven't used it.
General. Services help you set up and use the Software. They don't shift responsibility for your configuration, data or decisions to us (section 8 still applies). Sections 13–16 (warranty, liability, indemnity and the time limit for claims) apply to services too.
13. No warranty
TO THE MAXIMUM EXTENT THE LAW ALLOWS, THE SOFTWARE AND ANY SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS, AND WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DON'T WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT IT WILL MEET YOUR REQUIREMENTS, THAT ITS RESULTS OR CALCULATIONS WILL BE ACCURATE OR COMPLETE, OR THAT ERRORS WILL BE FIXED.
WE AREN'T RESPONSIBLE FOR PROBLEMS CAUSED BY:
- WINDOWS OR OTHER THIRD-PARTY SOFTWARE, DRIVERS, PRINTERS, EMAIL SERVICES, NETWORKS OR HARDWARE;
- VIRUSES OR MALWARE ON YOUR SYSTEMS;
- POWER OR INTERNET FAILURES;
- CHANGES TO THE SOFTWARE OR ITS FILES BY ANYONE OTHER THAN US;
- USE THAT DOESN'T FOLLOW THIS AGREEMENT OR OUR INSTRUCTIONS;
- YOUR CONFIGURATION OR INPUTS.
No advice or information from us, whether spoken or written, creates a warranty. Your only remedies are the refund in section 10 (within its window) or stopping use.
14. Limit of liability
TO THE MAXIMUM EXTENT THE LAW ALLOWS:
- NO INDIRECT OR CONSEQUENTIAL DAMAGES. WE (AND OUR OWNERS, EMPLOYEES AND SUPPLIERS) AREN'T LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY OF THE FOLLOWING, WHETHER DIRECT OR INDIRECT: - SCRAPPED, REWORKED, REJECTED OR RETURNED PARTS OR MATERIAL; - LOST PRODUCTION, MACHINE OR SHOP DOWNTIME, OR DELAYS; - LOST PROFITS, REVENUE, SALES, BUSINESS, CONTRACTS OR GOODWILL; - LOST, CORRUPTED OR UNRECOVERABLE DATA OR WORK; - WRONG, LATE OR UNDERPRICED QUOTES; - MISSED, WRONG OR INCOMPLETE INSPECTION RESULTS, OR NONCONFORMING PARTS BEING SHIPPED OR ACCEPTED; - RECALLS, CHARGEBACKS, BACK-CHARGES, PENALTIES OR CUSTOMER CREDITS; - THE COST OF SUBSTITUTE SOFTWARE OR SERVICES; - ANY CLAIM AGAINST YOU BY A THIRD PARTY, INCLUDING YOUR CUSTOMERS.
- ONE COMBINED CAP. OUR TOTAL LIABILITY FOR ALL CLAIMS OF ANY KIND, COMBINED, RELATING TO THE SOFTWARE, ANY SERVICES OR THIS AGREEMENT IS LIMITED TO THE TOTAL AMOUNT YOU ACTUALLY PAID FOR ALL SOFTWARE LICENSES, MAINTENANCE AND SERVICES IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE FIRST CLAIM. IF YOU PAID NOTHING (FOR EXAMPLE, DURING A TRIAL), OUR TOTAL LIABILITY IS ZERO. MORE CLAIMS, PRODUCTS OR SEATS DON'T RAISE THIS LIMIT.
- THESE LIMITS ALWAYS APPLY. THEY APPLY: - WHATEVER THE LEGAL THEORY (CONTRACT, WARRANTY, NEGLIGENCE OR OTHER TORT, STRICT LIABILITY OR ANYTHING ELSE); - EVEN IF WE WERE TOLD, OR SHOULD HAVE KNOWN, THAT THE DAMAGE WAS POSSIBLE; - EVEN IF A LIMITED REMEDY IN THIS AGREEMENT FAILS OF ITS ESSENTIAL PURPOSE.
- These limits are a basic part of the deal. Our prices reflect them, and we wouldn't offer the Software without them. Some places don't allow some of these limits. Where that's so, they apply as far as the law allows.
15. You protect us from your customers' claims (indemnity)
You will defend us, indemnify us, and hold us harmless (along with our owners and employees) against any claim, demand, lawsuit or proceeding brought by a third party, and the resulting losses, damages, settlements, fines, costs and reasonable attorneys' fees. This applies to claims brought by your customers and by anyone else, where the claim arises from or relates to:
- parts or products you make, buy, sell, quote, inspect, accept or ship, including nonconforming parts, recalls and chargebacks;
- quotes, reports, certificates, travelers, purchase orders or other output you create or send using the Software;
- your data, your inputs or configuration, or logos and content you add;
- your breach of this agreement or of any law.
We'll tell you about the claim promptly. We'll let you control the defense, and we'll reasonably cooperate at your expense. You won't settle a claim in a way that admits fault for us or binds us without our written OK. We may join with our own lawyer at our own cost.
16. Time limit for claims
To the extent the law allows, any claim against us relating to the Software, any services or this agreement must be brought within one (1) year after the claim arises. Otherwise it is permanently barred.
17. Events outside our control
We aren't responsible for any delay or failure caused by events beyond our reasonable control. Examples are natural disasters, fire, flood, power, internet or utility outages, epidemics, war, terrorism, civil unrest, government action, labor problems, and failures of suppliers, payment processors, hosting or other third-party services.
18. Export and US law
The Software is subject to US export control and sanctions laws. You won't export, re-export or give access to the Software in breach of those laws, including to embargoed countries or restricted people. If you are a US government user, the Software is "commercial computer software" licensed only under the terms of this agreement.
19. Termination
- This agreement lasts until it's terminated.
- It ends immediately, without notice and with no period to fix the problem, if you break this agreement (including section 5, restrictions) or fail to pay. When it ends, any license you have is deactivated.
- You may end it at any time by uninstalling the Software and deleting license files.
- When it ends, you must stop using the Software and uninstall it. You keep your data, and you can export it first.
- These sections survive termination or expiry: 5 (restrictions), 6 (data and backups), 7 and 8 (your responsibility), 13 (no warranty), 14 (limit of liability), 15 (indemnity), 16 (time limit for claims), 18 (export), 20 (governing law), 21 (general), and any payment you still owe.
20. Governing law and disputes
New Hampshire law governs this agreement, without regard to its conflict-of-law rules. Disputes go only to the state or federal courts located in Hillsborough County, New Hampshire, and both sides agree to those courts' jurisdiction and venue. Either side may instead bring a claim in small-claims court if the claim qualifies. The UN Convention on Contracts for the International Sale of Goods doesn't apply.
21. General
- Entire agreement: this agreement, the Privacy Policy, and the prices shown at checkout make up the whole agreement about the Software. They replace earlier statements about it.
- Changes: we may update this agreement for new versions. The version you accepted applies to the version you have.
- Severability: if any part is unenforceable, it's limited only as much as needed, and the rest stays in force.
- No waiver: not enforcing a term isn't a waiver of it.
- Assignment: you may assign only as section 4 allows. We may assign this agreement to a successor of our business.
- Independent parties: nothing here makes us partners, agents or employees of each other.
- Notices: to us at contact@PolyMetricFab.com or by mail to PO Box 175, Hudson, NH 03051. To you at the email address used for your order.
